Limited-Scope Engagement Agreement

Brand Deal Review · Version 1.0 · Effective October 14, 2026

The short version (the full terms below control):

This agreement is between you (“you”, the “Client”) and Zebulon Chandler Entertainment Law (the “Firm”, “we”, “us”), 6300 Powers Ferry Rd NW, Ste 600-161, Atlanta, GA 30339, through its attorney Zebulon Chandler. You accept it by checking the acceptance box and clicking to continue, which you agree has the same effect as signing it.

1. What we will do (the Scope)

We will review the single agreement you identify when you submit it, including its exhibits and any documents it expressly incorporates that you provide (the “Agreement”), and deliver a written review that includes:

The review covers the version of the Agreement you send us. A materially revised version from the other side is a new review, which we'll quote before starting.

2. What we will not do

Unless we agree otherwise in a separate written engagement, the Scope does not include:

If the review shows you need any of these, we'll say so in it and you can decide whether to engage us (or another lawyer) for that work.

3. Why the scope is limited, and your consent

You are asking for a limited review so you can decide quickly and affordably whether to sign. You understand that a limited review may not catch issues that would come out in a fuller representation (for example, facts you haven't told us, or how the brand actually behaves), and that you remain responsible for the decisions you make and for everything outside the Scope. You agree this limitation is reasonable for your situation. If we think it isn't, we'll tell you before we start.

4. What we need from you

5. Timing

We will deliver the review within 48 hours after we have both your payment and the complete Agreement (including any exhibits it refers to), and many are delivered sooner. If we need something from you to finish, such as a missing exhibit, the 48 hours runs from when we receive it. If your deadline is sooner, tell us in your upload note and we'll tell you right away whether we can meet it.

6. Fee and payment

The fee for the Scope is a flat $249, paid in advance by card through our payment processor, Stripe. The fee does not change based on the time the review takes. It does not include work outside the Scope.

The fee is earned when paid, because it secures our commitment to deliver the review on the timeline above. It remains subject to refund as stated in Section 7.

7. Conflicts check and refunds

8. No guarantee

We will give you our honest professional judgment. We can't guarantee how the brand will respond to requested changes, whether you'll keep the deal, or any particular result.

9. Jurisdiction

Zebulon Chandler is licensed to practice law in Georgia. Brand-deal agreements mostly turn on contract terms that work the same across U.S. states, and we review them on that basis. Where your state's law could change the answer, we'll flag it, and recommend a lawyer licensed there if you need advice on that point.

10. Confidentiality and communications

We keep your information confidential as the Georgia Rules of Professional Conduct require. You agree that we may communicate with you by email and store your documents with secure third-party providers (such as email, file storage and our web host). Please use an email account that only you can access, and don't forward our review to the other side unless you mean to share it (forwarding it could affect confidentiality). Our Privacy Policy explains how we handle website information.

11. When the engagement ends

The engagement ends when we deliver the written review. For 14 days after delivery you may email us reasonable clarifying questions about the review at no extra charge. After that, you're a former client: we have no duty to update the review, follow developments, or remind you of deadlines, unless you engage us again in writing.

12. Your file

We keep your file electronically for six years after the engagement ends and then securely destroy it, unless you ask for a copy before then.

13. Fee disputes and governing law

Georgia law governs this agreement. If we disagree about the fee, you may use the State Bar of Georgia's Fee Arbitration Program.

14. The whole agreement

This is our entire agreement about this review. Changes must be in writing (email is fine) and agreed by both of us. If any part is unenforceable, the rest still applies.

Acceptance. By checking “I have read and agree to the Limited-Scope Engagement Agreement” and continuing to payment, you confirm you are at least 18 (or a parent or guardian agreeing for a minor creator), that you have read and understood this agreement, and that you accept it.
